Terms of Service
Orosy is software — it does not hold, process, or settle funds. Any payments are handled by third-party payment providers (e.g., Stripe, Toss Payments) that you connect to your own account, and money flows directly between you and your customer. Orosy is not a payment processor, payment facilitator, or merchant of record.

Article 1 (Purpose)
These Terms govern the rights, obligations, and responsibilities between Orosy (the "Company") and users (shop operators) in connection with the use of the shop-operations automation SaaS platform (the "Service") provided by the Company.
Article 2 (Definitions)
- "Service" means all features provided by the Company, including AI-based social-channel auto-replies, booking management, customer management (CRM), insights analytics, and integrations with third-party payment providers. The Company does not hold, settle, or process funds; payments are handled by third-party providers connected by the User.
- "User" means an individual or business that agrees to these Terms and uses the Service.
- "Shop (workspace)" means a single business unit operated by the User within the Service.
- "End user" means a consumer who requests bookings or inquiries at the User's shop.
Article 3 (Posting and Amendment of Terms)
- The Company posts these Terms on the initial screen of the Service or a separate page.
- The Company may amend these Terms within the limits permitted by applicable law.
- Amendments are announced in advance at least 7 days before the effective date (30 days for changes unfavorable to users).
- If a User does not agree to amended Terms, the User may stop using the Service and request account withdrawal.
Article 4 (Account Registration)
- Registration proceeds according to the Company's procedures after the User agrees to these Terms and the Privacy Policy.
- Users must provide accurate information when registering; the User bears responsibility for issues arising from false information.
- The Company may refuse registration or terminate the agreement in the following cases:
- Registering by misappropriating another person's information
- Applying for purposes contrary to law or public order and morals
- Failing to meet other registration requirements set by the Company
Article 5 (Provision of the Service)
- The Company provides the User with the following services:
- AI-based automated replies across social channels
- Booking calendar and booking management
- Customer management (CRM)
- Operational insights and revenue analytics
- (Planned) integrations with third-party payment providers (e.g., Stripe, Toss), no-show prevention, and more — settlement is handled by the payment provider and does not pass through the Company
- The Service is provided 24/7 in principle, but may be temporarily suspended due to system maintenance, upkeep, or outages of external services.
- The Company gives advance notice of any change, addition, or suspension of the Service; in urgent cases, notice may be given afterward.
Article 6 (User Obligations)
- Users must not engage in the following:
- Collecting, using, or storing others' personal data without authorization
- Distributing illegal content or posting obscene, hateful, or discriminatory expressions through the Service
- Infringing the intellectual property of the Company or third parties
- Interfering with normal operation of the Service (hacking, abuse, etc.)
- Using end-user information collected through the Service for purposes other than intended
- Acts contrary to law or public order and morals
- Users are responsible for managing their account credentials (email, password, etc.) and must notify the Company immediately upon discovering unauthorized use.
Article 7 (Fees and Payment)
- The Service is offered on a free plan (Free) and paid plans (Standard, Pro, Business).
- Paid plans are charged in advance on a monthly or annual basis and renew automatically by default.
- Usage beyond a plan's limits is billed separately on a metered basis (e.g., a per-booking fee when the booking limit is exceeded).
- Fee changes are announced at least 30 days before the effective date. Existing subscribers may have their current price preserved for a period determined by the Company.
- Refunds are governed by the separate Refund Policy.
Article 8 (Shop Data and Ownership)
- Ownership of shop data entered into the Service by the User (bookings, customers, payments, etc.) belongs to the User.
- The Company processes data only within the scope necessary to provide the Service, as described in the Privacy Policy.
- Users may request a data export at any time, and the Company will provide it within a reasonable period.
- Upon account withdrawal, shop data is deleted except where retention is required by applicable law.
Article 9 (Suspension and Account Withdrawal)
- Users may request account withdrawal at any time.
- The Company may restrict use or terminate the agreement, after prior notice, if the User violates these Terms.
- Refunds upon termination or withdrawal are handled according to the Refund Policy.
Article 10 (Intellectual Property)
- Intellectual property in the software, UI, logos, and content included in the Service belongs to the Company.
- Users are granted only the right to use the Service and may not copy, distribute, or reverse-engineer it without authorization.
Article 11 (Limitation of Liability)
- The Company is not liable for service interruptions caused by force majeure, power outages, or failures of external services (Zernio, Hapio, Vertex AI, etc.).
- The Company is not a direct party to transactions between shops and end users arising through the Service and is not responsible for resolving transaction disputes. All payments are processed through third-party payment providers connected by the User, with funds flowing directly between the User and the end user; the Company does not hold, settle, or process funds.
- The Company makes reasonable efforts regarding the accuracy of AI auto-replies but does not guarantee the appropriateness of every response. Users are responsible for reviewing important responses.
Article 12 (Dispute Resolution and Governing Law)
- Matters not specified in these Terms are governed by applicable laws and commercial practice.
- Disputes arising from use of the Service are governed by the laws of the Republic of Korea, with the court having jurisdiction over the Company's principal place of business as the agreed court of jurisdiction.
- The Company and the User will first seek to resolve any dispute through good-faith consultation.
Addendum
These Terms apply from the effective date.
